1. Founders of a company in Slovenia can either be resident or non-resident in Slovenia. Founders can be either individuals or legal entities.
2. A resident or a non-resident individual can be a director in Slovenia. It is not required for companies in Slovenia to have a resident individual as one of their shareholders or directors.
3. One individual can register a company in Slovania and simultaneously be a shareholder and a director this company if such company is registered as a d.o.o. (a limited liability company).
4. For the purposes of company formation in Slovenia every foreign founder and every foreign director has to recieve a local tax number in Slovenia (Davčna Številka), as well as provide a certificate of no criminal record.
5. If a foreign company establishes a business entity or a branch in Slovenia, it will also need to have a local tax number issued for it in Slovenia.
6. There is no requirement for creating substance in Slovenia - no need to hire local employees or rent an office in order to establish a company in Slovenia or to conduct business in Slovenia.
7. Minimum share capital that is required to register a company in Slovenia as a d.o.o. (a limited liability company) is EUR 7,500.
